用户协议

本协议是你与 IAAI NEXUS PTE. LTD.（新加坡注册公司，UEN 202648683R，以下称“我们”）之间关于使用 IAAI 网站、网页版和移动应用（以下统称“IAAI”或“本服务”）的约定。注册或使用本服务即表示你同意本协议。

1. 服务内容

IAAI 是一款 AI 对话与角色扮演应用，提供多种第三方 AI 模型的聊天、图片生成、智能体（角色）、世界书、对话记忆、语音和资料参考等功能。具体可用的模型与功能以应用内显示为准，我们可能根据服务情况增加、调整或下线部分模型与功能。

2. 账号

  • 你须年满 18 周岁，或达到你所在地区可以独立订立合同的年龄，方可注册使用本服务。
  • 请使用真实有效的邮箱注册，并妥善保管密码。通过你的账号进行的操作视为你本人的操作。
  • 一个账号仅供一人使用，不得出租、出售或转让。
  • 你可以随时在应用内“我的 → 设置 → 注销账号”注销账号，注销的影响见第 5 条和隐私政策。

3. 余额与付费

  • 预付余额：本服务采用预付费方式。你用人民币充值后，按充值时页面显示的兑换比例换算为以美元（USD）计的余额。订单保留下单时的兑换比例。
  • 按量扣费：使用 AI 模型、图片生成等功能时，按应用内标示的价格从余额扣费：按 Token 计费的模型按实际输入输出用量计算，按次计费的模型按每次固定价格计算。每次的实际费用可在“引用与用量”和使用记录中查看。
  • 回复完成后才扣费，因此余额可能变为负数；余额为负时需充值后才能继续使用。
  • 会员：会员从余额支付，在购买时确认的期限内提供相应扩展功能，不自动续费。会员费不包含模型使用费。
  • 余额仅可用于本服务，不能提现、转让或兑换为现金，也不计利息。
  • 价格可能调整，调整只影响之后的使用和购买，不影响已完成的扣费和已购买的会员。
  • 付款由第三方支付服务商处理。退款规则见退款政策。

4. 使用规范

使用本服务时，你不得：

  • 生成、上传或传播违反适用法律的内容，包括但不限于涉及未成年人的色情内容、恐怖主义、煽动暴力或仇恨的内容；
  • 侵犯他人的知识产权、隐私或其他合法权益，或冒充他人；
  • 利用本服务从事诈骗、骚扰、垃圾信息或其他违法活动；
  • 以自动化方式大量调用、转售本服务，或试图绕过计费、攻击、干扰本服务的正常运行；
  • 违反所使用的第三方 AI 模型服务商的使用政策。

对于违反上述规范的行为，我们可以删除相关内容、限制功能、暂停或终止账号。

5. 内容与知识产权

  • 你输入和上传的内容归你所有。为提供服务，你授权我们存储、处理这些内容，并发送给相关 AI 模型服务商以生成回复。
  • AI 生成的内容可能不准确、不完整或不适合你的用途，不代表我们的观点。请自行判断，不要将其作为医疗、法律、金融等专业意见。
  • 你主动分享到社区的智能体，其他用户可以查看和使用；你可以随时取消分享。分享的智能体须经审核，分享返佣按应用内说明执行。
  • IAAI 的名称、标识、软件和界面的知识产权归我们所有。
  • 注销账号后，你的个人内容将被删除，剩余余额、未到期会员和未入账的分享收益作废，不予退还。

6. 服务的变更与中断

我们会尽力保持服务稳定，但本服务依赖第三方 AI 模型和网络服务，可能因维护、第三方故障或不可抗力出现中断或延迟。对于因此未能生成的内容，我们只按服务商实际确认的用量扣费。

7. 免责与责任限制

在适用法律允许的最大范围内，本服务按“现状”提供。我们不对 AI 生成内容的准确性作出保证，也不对因使用或无法使用本服务造成的间接损失承担责任。我们对你承担的全部责任，以你在引起索赔的事件发生前 3 个月内向我们支付的金额为限。

8. 协议的修改

我们可能更新本协议，并在本页面公布新版本和生效日期。重大变更会通过网站或应用内提示告知。更新后继续使用本服务，即表示你接受更新后的协议。

9. 适用法律与争议解决

本协议适用新加坡法律。因本协议产生的争议，双方应先友好协商；协商不成的，提交新加坡有管辖权的法院解决。

Terms of Service

Effective date: 2 November 2026

These terms are an agreement between you and IAAI NEXUS PTE. LTD., a company registered in Singapore (UEN 202648683R) (“we”, “us”), for your use of the IAAI website, web app and mobile apps (together, “IAAI” or the “Service”). By signing up for or using the Service, you agree to these terms.

1. The Service

IAAI is an AI chat and role-play app offering chat with third-party AI models, image generation, characters (agents), world books, chat memory, voice and file features. The models and features available are those shown in the app; we may add, change or retire models and features over time.

2. Your account

  • You must be at least 18 years old, or the age at which you can enter into a contract where you live, to use the Service.
  • Register with a real email address and keep your password safe. Actions taken through your account are treated as yours.
  • An account is for one person and may not be rented, sold or transferred.
  • You can delete your account at any time in the app (“Me → Settings → Delete account”); see section 5 and the privacy policy for what this means.

3. Balance and payments

  • Prepaid balance: the Service is prepaid. When you top up in CNY, the amount is converted at the rate shown at the time into a balance kept in US dollars (USD). Each order keeps the rate at which it was placed.
  • Usage charges: AI models, image generation and other features are charged from your balance at the prices shown in the app. Token-priced models are charged by actual input and output; per-request models by a fixed price per request. The actual cost of each request is shown in “Sources & usage” and your usage history.
  • Charges are made after a reply finishes, so your balance can go below zero; you need to top up before continuing.
  • Memberships are paid from your balance, provide the extended features for the period confirmed at purchase, and never renew automatically. Membership fees do not include model usage.
  • Your balance can only be used within the Service. It cannot be withdrawn, transferred or exchanged for cash, and earns no interest.
  • Prices may change. Changes apply only to later use and purchases, not to completed charges or memberships already bought.
  • Payments are processed by third-party payment providers. Refunds are covered by the Refund Policy.

4. Acceptable use

When using the Service you must not:

  • create, upload or share content that breaks applicable law, including sexual content involving minors, terrorism, or content inciting violence or hatred;
  • infringe the intellectual property, privacy or other rights of others, or impersonate anyone;
  • use the Service for fraud, harassment, spam or other unlawful activity;
  • call or resell the Service in bulk by automated means, or try to bypass billing, attack or disrupt the Service;
  • break the usage policies of the third-party AI model providers you use.

If you break these rules, we may remove content, limit features, or suspend or close your account.

5. Content and intellectual property

  • Content you enter and upload remains yours. To provide the Service, you allow us to store and process it and send it to the relevant AI model providers to generate replies.
  • AI-generated content may be inaccurate, incomplete or unsuitable for your purpose, and does not represent our views. Use your own judgement and do not treat it as medical, legal, financial or other professional advice.
  • Characters you choose to share with the community can be viewed and used by other users; you can stop sharing at any time. Shared characters are reviewed, and creator rewards follow the rules shown in the app.
  • The IAAI name, logo, software and interface belong to us.
  • When you delete your account, your personal content is deleted, and any remaining balance, unexpired membership and unpaid creator rewards are forfeited and not refunded.

6. Changes and interruptions

We work to keep the Service available, but it depends on third-party AI models and network services and may be interrupted or delayed by maintenance, third-party failures or events beyond our control. For content that fails to generate, we only charge usage the provider actually confirms.

7. Disclaimer and limitation of liability

To the fullest extent permitted by law, the Service is provided “as is”. We do not guarantee the accuracy of AI-generated content and are not liable for indirect losses arising from use of, or inability to use, the Service. Our total liability to you is limited to the amount you paid us in the 3 months before the event giving rise to the claim.

8. Changes to these terms

We may update these terms and will publish the new version and its effective date on this page. Material changes will be announced on the website or in the app. Continuing to use the Service after an update means you accept the updated terms.

9. Governing law and disputes

These terms are governed by the laws of Singapore. Disputes should first be resolved through good-faith discussion; failing that, they will be submitted to the competent courts of Singapore.
